What are the most important considerations prior to instructing your solicitor to act on a sale, merger or acquisition?

(i) Obtain a proper valuation from a specialist property valuer. We can arrange this for you.

(ii) Consult an accountant in respect of the value of the lease or freehold, the value of the goodwill, fixtures and fittings, how to treat stock and VAT matters.

(iii) Who shall be responsible for taking over the responsibilities and rights of existing employees. We can advise you on the aspects of the TUPE Regulations.

(iv) We shall prepare the necessary agreements that are incorporated into a new business venture or acquisition, for example a shareholder's or partnership agreement, director's service contracts and contracts of employment (link to employment section) etc.
